AGRIBUSINESS

  • Transaction: Nidera buys United Shipping Agency (USA)

Value of transaction: N/A

Legal team buyer: (Nidera) Clifford Chance Badea; Balms & Asociații and the internal legal department of Nidera

Description: Nidera, a global commodity trader and agribusiness company, acquired United Shipping Agency (USA), the owner of the largest grain export terminal in the Black Sea port of Constanta, Romania.

  • Transaction: Origin Enterprises buys Comfert SRL and Redoxim

Value of transaction: EUR 19.4 million (Comfert) and EUR 35 million (Redoxim)

Description: Irish food and agribusiness group Origin Enterprises took over Bacau-based Comfert, a company which employs over 180 people and operates through a distribution network servicing approximately 1,900 farming customers via a team of 32 agronomists and product specialists. Origin also took over agri-service firm Redoxim, which is a provider of agronomy services, macro and micro inputs to arable, vegetable and horticulture growers. The Timisoara-based company employs over 190 people and it services approximately 2,000 customers through a distribution network of 55 retail outlets, and a team of 50 agronomists and product specialists.

  • Transaction: Archer Daniels Midland Company acquires North Star Shipping and Minmetal

Description: US food processing and commodities trading corporation Archer Daniels Midland Company has acquired complete ownership of North Star Shipping and Minmetal, enhancing the company’s European origination and transportation network through the addition of export facilities at the Romanian Port of Constanta on the Black Sea. North Star and Minmetal operate grain elevators and bulk commodity storage and warehousing as well as port services, stevedoring operations and a shipping agency at the mouth of the Danube River. ADM was previously a partner in both North Star and Minmetal.

  • Transaction: BayWa buys Patberg SRL

Description: BayWa acquired a 90 percent of the share capital of Patberg SRL (currently Baywa Romania), a company specialising in trading agricultural products.

 

 

FORESTRY

  • Transaction: Ikea (IRI Investments BV) acquires Greengold Value Forests SRL

Legal team seller: TPA Horvath and Ropes&Gray

Description: Resource Independence Investments SRL, the Romania-based company and a subsidiary of Inter IKEA Systems B.V. has acquired Greengold Value Forest SRL, the Romania-based company engaged in forestry operations of 33,600 hectares, from Greengold European Capital SA, the Sweden-based company having interest in companies engaged in maintaining forest assets, and an indirect subsidiary of Harvard University. The acquired forestlands are located in Prahova, Buzau, Vrancea, Botosani and Bihor, in Romania’s central and north-eastern part, with a smaller concentration in the northwest. Romania is the first country in which the Ikea Group will manage its own forest wood operations. With the acquisition, Ikea will hold about 0.5 percent of the total area under forests in Romania.
