HEALTHCARE

  • Transaction: MedLife buys the Prima Medical imaging center in Craiova

Description: MedLife took over the medical imagistic center Prima Medical in Craiova. It was the third transaction initiated by MedLife in 2015 after it took over the majority stake of 55 percent in the Sama & Ultratest group of firms from the Oltenia region. Prima Medical is one of the most important imagistic centers in Oltenia, with 11 years experience on the local market.

 

  • Transaction: Diaverum buys International Healthcare System

Description: Diaverum, a leading international healthcare services provider in the nephrology field, bought International Healthcare Systems, one of the most important local dialysis services providers, operating a network of 15 dialysis centers. The acquisition increases Diaverum’s network to 28 centers treating more than 3,000 patients in Romania, making Diaverum the second-largest provider of renal care services in the country. IHS is a healthcare provider operating nephrology and dialysis centers in Romania.

 

  • Transaction: Advent International Corporation sells its stake in Regina Maria to Mid Europa Partners

Value of transaction: EUR 99.6 million (market estimate)

Legal team seller: RTPR Allen & Overy for Advent International Corporation; NNDKP for the Enayati family

Description: Mid Europa Partners, a private equity firm focused on Central Europe and Turkey, bought healthcare chain Regina Maria private clinics network (Centrul Medical Unirea S.R.L.) from the American investment fund Advent.

 

  • Transaction: Accession Mezzanine Capital III bought a stake in Romanian company Amethyst Radiotherapy

Value of transaction: EUR 25 million

Description: Private equity fund Accession Mezzanine Capital III, managed by Austrian group Mezzanine Management, recently bought a stake in Romanian company Amethyst Radiotherapy, which operates several clinics for cancer treatment in Romania and abroad. The investment was EUR 4 million and was part of a share capital increase that Amethyst Radiotherapy made, in April 2015, to support business development in several countries in Europe, Romania included, the company announced. The private equity fund also granted the company a EUR 21 million loan in 2014, so its total investment in the company now amounts to EUR 25 million.

 

PHARMA

  • Transaction: GSK sells Europharm to Interbrands Marketing & Distribution SRL

Description: The UK subsidiaries of GlaxoSmithKline sold its 100 percent shareholding interest in Europharm Holding SA (“Europharm”), a pharmaceutical wholesaler part of the GlaxoSmithKline group to Interbrands Marketing & Distribution SRL.

The transaction was signed on October 13th 2015.

 

  • Transaction: Mylan takes over part of the business of Abbott Laboratories

Value of transaction: USD 5.3 billion worldwide

Legal team buyer: Noerr & Wolf Theiss

Legal team seller: Musat & Asociatii

Description: Mylan Inc., one of the world’s leading generics and specialty pharmaceutical companies, with sales in approximately 145 countries and territories with a revenue in 2014 of USD 7.72 billion, took over part of the business of Abbott Laboratories (American pharmaceuticals and healthcare products company). The deal also included the Romanian jurisdiction.
